Terms and Conditions of „Dizzy Fingers Academy GmbH“

Welcome to the Jazz Guitar Academy! We are delighted to have you on board. These Terms and Conditions (“Terms”) govern your use of our services. Please read them carefully.
I. General Provisions
§ 1 Provider and Scope
(1) These Terms apply to all agreements between Dizzy Fingers Academy GmbH, represented by Managing Director Malte Weber (hereinafter “the Company”), and its customers regarding the use of the online platform https://jazzguitaracademy.com.
(2) Deviating or supplementary terms of the customer shall not apply.
(3) The services are offered worldwide but are governed exclusively by German law.
II. Formation of Contract and User Account
§ 2 Conclusion of Contract
(1) A contract is formed when the user selects a subscription plan, provides the required personal details, and confirms payment. This constitutes a binding offer.
(2) The Company accepts this offer by granting access to the digital content.
(3) All communication takes place by email. Users must ensure that their email address is valid.
(4) When placing the first order, the user must confirm that service may begin before the withdrawal period ends. By giving this consent, the statutory right of withdrawal expires.
Confirmation text: “I expressly agree that you may begin providing the service before the end of the withdrawal period. I understand that by giving this consent, I lose my right of withdrawal once access has been provided.”
III. Subscriptions, Terms, and Termination
§ 3 Term and Renewal
(1) Subscription options:
- 3 months — €90
- 6 months — €150
- 12 months — €260
(2) After the initial term, the subscription automatically renews for an indefinite period.
(3) Billing continues in the chosen payment interval. Subscriptions may be cancelled at any time, effective at the end of the current billing period. Upon explicit request, early termination is possible with a pro-rata refund for unused time.
§ 4 Cancellation
(1) Cancellation may be made at any time via the customer account, by email, through the contact form, or via the “Cancel Contract” link in the website footer.
(2) The right to terminate without notice for good cause remains unaffected.
(3) The Company reserves the right to terminate without notice if the user violates material contractual obligations, particularly the usage restrictions in § 7.
IV. Services, Content, and Support
§ 5 Scope of Services
(1) The Company provides digital educational content, including videos, sheet music, backing tracks, and supplementary materials.
(2) A key part of the service is personal support by email, provided exclusively by qualified experts, not automated systems.
(3) The service is intended for educational purposes and may help prepare for professional activities in music.
§ 6 Contributors and Third-Party Content
(1) Content may feature external instructors and artists (e.g., Michael Sagmeister) who cooperate contractually with the Company.
(2) Instruments or accessories shown may be provided by third parties through sponsorships or endorsements.
(3) If a contributor withdraws content, lessons may be modified or removed. Users have no entitlement to specific contributors or content.
§ 7 Rights of Use
(1) Users receive a simple, non-transferable right to use the content for the duration of their subscription.
(2) Content may only be used privately and non-commercially.
(3) Downloading, recording, or distributing video lessons is prohibited, except where explicitly enabled (e.g., PDFs, MP3s). Such downloads may not be used commercially.
(4) Saving, sharing, or public performance of content is prohibited.
(5) All content is protected by German copyright law. Users outside Germany are responsible for complying with their local copyright laws.
V. Prices, Payment, and Availability
§ 8 Prices and Payment Methods
(1) Subscription prices are published on the website. The Company is exempt from VAT under German law.
(2) Accepted payment methods include Stripe, PayPal, Amazon Pay, and invoice (prepayment).
(3) The invoice/prepayment option is available only to customers residing in Germany.
(4) Payment is due in advance for the selected subscription period.
(5) Discounts and vouchers apply only to the first booking, unless stated otherwise.
§ 9 Availability and Technical Requirements
(1) The platform operates with an average availability of 95% per calendar month.
(2) Scheduled maintenance will be announced in advance whenever possible.
(3) Access requires a current browser, a stable internet connection, and cookies enabled.
(4) No guarantee is given for uninterrupted availability or specific technical features.
VI. Affiliate Links, Advertising, and Social Media
§ 10 Product Recommendations and Affiliate Links
(1) The website and related media (e.g., YouTube) may contain product recommendations as affiliate links.
(2) If users click on an affiliate link, the Company may receive a commission. No additional costs arise for the user.
(3) The Company assumes no liability for third-party content or services.
§ 11 Content on Third-Party Platforms
(1) Some content is made publicly available on third-party platforms (e.g., YouTube, Instagram) for promotional purposes.
(2) This content does not replace the educational content provided on the platform.
(3) Use or redistribution of such content is only permitted within the respective platform’s guidelines. Downloading or re-uploading is prohibited.
(4) If third-party providers block or delete such content, no claim for replacement exists.
VII. Liability, Data Protection, and Use Abroad
§ 12 Liability
(1) The Company is fully liable for damages caused intentionally or by gross negligence, as well as for injury to life, body, or health.
(2) In cases of slight negligence involving the breach of essential contractual duties, liability is limited to typical, foreseeable damages.
(3) Any further liability is excluded.
(4) The limitations of liability also apply in favor of the Company’s legal representatives and agents.

§ 14 Use Abroad / Technical Restrictions
(1) Access to content may be restricted by state firewalls or network blocks.
(2) Users outside Germany are responsible for ensuring that platform use complies with their local laws.
(3) VPN use is at the user’s own risk. The Company does not provide support for bypassing regional restrictions.
VIII. Course Content, Results, and Amendments
§ 15 Course Content and Updates
Course content may be modified, updated, or removed. The Company reserves the right to adjust content at any time. No claim exists to specific content or permanent availability.
§ 16 No Guarantee of Success
Learning outcomes depend on individual implementation and effort. No specific results are guaranteed.
§ 17 Amendments to these Terms
The Company may amend these Terms with future effect. Users will be informed of changes via email. If the user does not object within six weeks, the amendments are deemed accepted.
IX. Final Provisions
§ 18 Governing Law
(1) These Terms are governed exclusively by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) For consumers abroad, German law applies unless mandatory legal provisions of their country of residence prevail.
§ 19 Jurisdiction
For merchants or legal entities, the courts at the registered office of the Company shall have exclusive jurisdiction.
§ 20 Severability
If any provision of these Terms is or becomes invalid, the validity of the remaining provisions shall remain unaffected.
